What do I have to consider when founding a limited liability company?

Establish your own limited liability company in Switzerland

Required capital

A minimum of CHF 20,000 (fully paid up) is required to establish a limited liability company.

Info: The founder of an public limited corporation or limited liability company cannot draw pension fund money because he is employed in his own company on the basis of an employment contract. For the purposes of OASI law, he is therefore not considered to be self-employed.

Number of persons

A limited liability company requires at least one shareholder and one managing director, which can be the same person. A managing director with signing authority must also be resident in Switzerland.

Auditors

Auditing is mandatory for 10 or more employees. According to Art. 727 OR, a limited liability company is subject to ordinary audit if it exceeds two of the following thresholds in two consecutive financial years: Balance sheet total: CHF 20 million - Turnover: CHF 40 million - Full-time equivalents: 250.

Value added tax liability

Your limited liability company is subject to value added tax (VAT) only from a turnover of CHF 100,000. However, it is also possible to voluntarily apply VAT at a lower turnover.
